1. Acceptance of These Terms

These Terms and Conditions ("Terms") govern your access to and use of the Lain Dain mobile application, website, services, features, content, tools, notifications, and related services (together, the "Service").

By creating an account, accessing, or using Lain Dain, you agree to these Terms and to our Privacy Policy. If you do not agree, you must not use the Service.

In these Terms, "Lain Dain", "we", "us", and "our" refer to Lain Dain App, and "you" or "user" refers to the person using the Service.

2. Who May Use Lain Dain

You must be legally capable of accepting these Terms under the laws that apply to you.

You must provide accurate and current account information.

You must not use Lain Dain if we have previously suspended or blocked you for violating these Terms.

If you are under the legal age required to accept these Terms, you may use the Service only with permission and supervision from a parent or legal guardian.

3. What Lain Dain Does

Lain Dain is a record-keeping and expense management app. It is designed to help users:

• record personal and shared expenses;
• create one-to-one or group ledgers;
• split expenses between selected people;
• track who owes whom based on user-entered information;
• send or receive reminders;
• mark amounts as pending, settled, confirmed, or disputed;
• attach optional notes, receipts, screenshots, or other supporting information;
• view ledgers, summaries, categories, reports, and activity history.

The Service is intended for informal use between people who know each other, such as friends, family, spouses, roommates, colleagues, trip groups, and small informal circles.

4. What Lain Dain Does Not Do

For Phase 1, Lain Dain is not a money transfer service and does not provide regulated financial services. Unless we clearly launch a separate regulated feature in the future with separate terms, Lain Dain does not:

• hold user funds or store user money;
• transfer money between users;
• process, execute, guarantee, reverse, or verify actual transfers of money;
• provide banking, lending, credit, insurance, investment, tax, accounting, legal, debt recovery, or financial advisory services;
• guarantee that a user will repay another user;
• act as a court, arbitrator, mediator, police authority, collection agent, recovery agent, or guarantor between users.

Users may settle amounts outside Lain Dain through any lawful method they choose. Lain Dain only records the settlement status entered by users inside the app.

5. Informal Records Only

Expenses, balances, settlements, reminders, notes, comments, screenshots, attachments, and ledger entries in Lain Dain are informal records based on user input. They are not automatically legally binding contracts, loan agreements, promissory notes, guarantees, admissions of liability, or enforceable debt instruments.

Lain Dain does not guarantee the accuracy, completeness, fairness, legality, validity, or enforceability of any information entered by users. Each user is responsible for checking amounts, participants, dates, split methods, notes, attachments, settlement status, and any other information before relying on it.

6. User Accounts and Security

You are responsible for keeping your login credentials, phone, email, OTP, device, and account secure. Any activity from your account may be treated as activity performed by you.

You must promptly notify us if you believe your account has been accessed without permission. We are not responsible for losses, incorrect entries, deleted records, changed balances, or disputes caused by unauthorized access resulting from your failure to protect your account, device, OTP, password, or login session.

7. User-Entered Information

You are solely responsible for all information you create, upload, edit, delete, share, confirm, dispute, or otherwise submit through Lain Dain, including:

• expense amounts, categories, notes, descriptions, participants, payer information, dates, and split rules;
• group names, individual ledgers, member details, invitation links, and settings;
• settlement entries, confirmations, disputes, reminders, comments, and activity logs;
• receipts, screenshots, profile photos, group images, attachments, and any other user content.

You confirm that your information is true and lawful to the best of your knowledge, and that you have the right to share any content you upload or submit.

8. Group and Individual Ledgers

When you create or join a group or individual ledger, certain information may be visible to the relevant people in that ledger, including expense details, participants, amounts, notes, comments, attachments, settlement status, and edit history.

You are responsible for selecting the correct people before adding or sharing any expense. Lain Dain is not responsible if you add the wrong person, share sensitive information with the wrong group, invite the wrong contact, or enter incorrect amounts.

Group admins may have additional controls over the group, including inviting members, removing members, changing settings, and managing disputes or entries where such features are available. Lain Dain is not responsible for decisions made by group admins or members.

9. Settlements, Confirmations, and Disputes

A settlement entry inside Lain Dain is only a record created by users. If a user marks an amount as settled, paid, received, confirmed, rejected, disputed, or pending, that status is based on user input only.

Lain Dain does not independently verify whether money was actually given, received, reversed, delayed, failed, mistakenly sent, or sent to the wrong person outside the app.

If users disagree about an amount or settlement, they must resolve the issue between themselves. Lain Dain may provide tools to mark a dispute, add comments, show history, or contact support, but we are not responsible for deciding who is correct or forcing any user to settle.

10. Reminders and Communications

Lain Dain may allow users to send reminders, requests, notifications, comments, or messages related to expenses and settlements. You must use these features respectfully and lawfully.

You must not use Lain Dain to harass, threaten, shame, blackmail, defame, abuse, stalk, spam, impersonate, or pressure another person. We may restrict or suspend accounts that misuse reminders or communications.

Delivery of notifications, OTPs, SMS, WhatsApp messages, emails, or push notifications is not guaranteed. Delivery may fail, delay, duplicate, or be blocked due to device settings, network issues, third-party services, or other reasons beyond our control.

11. Permissions and Device Access

Some features may ask for device permissions. You can allow or deny permissions through your device settings. Denying permission may limit certain features.

• Contacts: used only if you allow access, to help find friends, match contacts, invite people, or improve the ease of adding participants.
• Photos / Gallery / Camera: used only if you allow access, to let you select or upload profile photos, group images, receipts, screenshots, or expense attachments.
• Notifications: used only if you allow access, to send reminders, updates, account alerts, and other app notifications.
• Location: used only if a feature requires it and you allow it, for example adding a location to an expense or improving account security.

You are responsible for ensuring that you have the right to upload or share any photo, receipt, screenshot, contact, name, or other information through the Service.

12. Acceptable Use

You agree not to use Lain Dain for any unlawful, harmful, abusive, or inappropriate purpose. You must not:

• enter false, misleading, fraudulent, defamatory, hateful, obscene, or illegal content;
• use the Service for scams, blackmail, extortion, harassment, coercion, illegal recovery, money laundering, fraud, gambling, terrorism, or any unlawful activity;
• impersonate another person or misrepresent your identity;
• access, copy, scrape, interfere with, reverse engineer, overload, damage, or disrupt the Service;
• attempt to access another user’s account or data without permission;
• upload malware, harmful code, or content that infringes another person’s rights;
• use the Service in a way that may expose Lain Dain, its users, team, partners, or service providers to harm, risk, legal liability, or reputational damage.

13. User Content

You keep ownership of the content you submit to Lain Dain. However, by submitting content, you give Lain Dain a worldwide, non-exclusive, royalty-free license to host, store, process, reproduce, display, transmit, format, back up, and use that content only as reasonably needed to operate, improve, secure, support, and provide the Service.

We are not responsible for user content. We may remove, restrict, or disable content or accounts if we believe they violate these Terms, create risk, breach law, or harm users or Lain Dain.

14. Data Loss, Deletion, Sync Issues, and Backups

Lain Dain is provided as a digital service that depends on software, devices, networks, cloud infrastructure, databases, and third-party providers. You understand and agree that data may be unavailable, delayed, corrupted, changed, lost, or deleted due to reasons including:

• bugs, errors, crashes, updates, maintenance, or failed releases;
• user mistakes, accidental deletion, wrong entries, wrong edits, wrong group settings, or use of the wrong account;
• actions by other users, group members, group admins, invited contacts, or people with access to your device or account;
• sync conflicts, offline use, duplicate accounts, device changes, internet issues, notification failures, or app store restrictions;
• server failure, cloud provider issues, database errors, cyberattacks, unauthorized access, security incidents, or backup failure;
• events outside our reasonable control, including force majeure events.

We may attempt to maintain backups, logs, or recovery systems, but we do not guarantee that any data can be recovered or restored.

15. Service Availability

We aim to provide a useful and reliable Service, but we do not guarantee that Lain Dain will always be available, uninterrupted, secure, accurate, bug-free, error-free, or compatible with every device, operating system, network, or app version.

We may modify, suspend, restrict, discontinue, or remove any feature at any time, with or without notice, including for maintenance, legal reasons, security, misuse prevention, business reasons, or product changes.

16. Third-Party Services

Lain Dain may rely on or link to third-party services such as app stores, cloud hosting providers, analytics providers, notification providers, SMS or messaging providers, authentication providers, email providers, crash reporting tools, customer support tools, and other technology providers.

We are not responsible for third-party services, their content, their performance, their outages, their security practices, their fees, their errors, their policies, or any loss caused by them. Your use of third-party services may be subject to their own terms and policies.

17. Intellectual Property, Platform Ownership and Anti-Copying Restriction

The Lain Dain name, logo, trade name, brand identity, app icon, domain names, slogans, colour combinations, screen designs, user interface, user experience, layouts, icons, graphics, text, workflows, software, source code, object code, databases, features, functions, algorithms, reports, categories, reminders, settlement flows, group expense flows, product concepts, documentation, and all content created by or for Lain Dain are owned by or licensed to Lain Dain.

You are granted only a limited, personal, revocable, non-exclusive, non-transferable licence to use the Service for your own lawful personal use. No ownership rights are transferred to you.

You must not, directly or indirectly:

• a. copy, reproduce, modify, adapt, translate, distribute, sell, rent, licence, sublicense, publish, display, mirror, frame, or create derivative works from the Service;
• b. reverse engineer, decompile, disassemble, inspect, extract, scrape, crawl, copy, or attempt to discover the source code, structure, logic, design, database, workflows, algorithms, or underlying ideas of the Service, except to the extent such restriction is prohibited by applicable law;
• c. use the Service, screenshots, screen recordings, flows, features, data, design, branding, layout, user experience, or any other part of Lain Dain to build, assist, finance, operate, launch, advise, copy, imitate, or improve any competing or similar application, website, software, platform, business, or service;
• d. access or use Lain Dain for competitive research, benchmarking, product study, feature comparison, market research, cloning, or development of a similar product without our prior written permission;
• e. remove, hide, alter, or misuse any copyright, trademark, proprietary, watermark, metadata, or ownership notices appearing in or connected with the Service;
• f. use automated tools, bots, scripts, scraping tools, data-mining tools, or other methods to copy, extract, collect, or monitor any part of the Service;
• g. copy or imitate Lain Dain’s distinctive look and feel, user journey, expense management structure, group ledger design, settlement flow, reminders, reports, wording, categories, icons, branding, or other protected expression in a manner likely to confuse users or unfairly benefit from Lain Dain’s work.

You agree that any unauthorised copying, imitation, reverse engineering, competitive use, scraping, or misuse of Lain Dain may cause serious and irreparable harm to Lain Dain. In such cases, Lain Dain may seek all available legal remedies, including suspension of your account, permanent blocking of access, injunctions, damages, account of profits, recovery of legal costs, and any other civil or criminal remedies available under applicable law.

For protection of our rights, prevention of misuse, and legal enforcement, Lain Dain may maintain records of account creation, login history, device information, IP address, app version, accepted Terms version, activity logs, screenshots or evidence of misuse, and other technical records permitted under our Privacy Policy and applicable law. These records may be used to investigate suspected copying, misuse, reverse engineering, fraud, breach of these Terms, or infringement of Lain Dain’s rights.

Any feedback, suggestions, feature ideas, improvements, comments, or recommendations you provide to Lain Dain may be used by Lain Dain without restriction, compensation, or obligation to you, unless separately agreed in writing.

Nothing in these Terms allows you to use the Lain Dain name, logo, brand, screenshots, app design, software, content, or other intellectual property without our prior written permission.

18. Competitive Misuse

You confirm that you are not using the Service for the purpose of copying, cloning, reverse engineering, benchmarking, or developing a competing or similar product. If you are accessing the Service on behalf of a competitor, software developer, agency, consultant, investor, research firm, or any other business for competitive or commercial analysis, you must obtain written permission from Lain Dain before using the Service.

19. Suspension and Termination

We may suspend, restrict, or terminate your access to Lain Dain at any time if we believe that you have violated these Terms, created risk for Lain Dain or other users, misused the Service, broken the law, or used the Service in a way that may harm users, our team, our partners, our systems, or our reputation.

You may stop using the Service at any time. You may request account deletion through available app settings or by contacting us. Certain records may remain for a reasonable time for backups, security, fraud prevention, dispute handling, legal compliance, or legitimate business needs, as described in the Privacy Policy.

20. Disclaimer of Warranties

To the maximum extent permitted by law, Lain Dain and the Service are provided on an "as is" and "as available" basis. We make no warranties, whether express, implied, statutory, or otherwise, including warranties of accuracy, reliability, availability, merchantability, fitness for a particular purpose, non-infringement, uninterrupted service, data preservation, or error-free operation.

You use Lain Dain at your own risk. You should not rely on Lain Dain as your only record of important amounts or obligations. You are responsible for keeping your own backup or separate record where necessary.

21. Limitation of Liability

To the maximum extent permitted by law, Lain Dain, its founder(s), owners, directors, officers, employees, contractors, advisors, affiliates, suppliers, service providers, and partners will not be liable for any indirect, incidental, special, consequential, exemplary, punitive, reputational, emotional, business, financial, or data-related damages arising from or related to your use of or inability to use the Service.

This includes, without limitation, any loss caused by incorrect expenses, incorrect balances, deleted records, failed reminders, inaccurate reports, failed notifications, user disputes, account misuse, unauthorized access, mistaken settlement status, accidental deletion, server failure, third-party failure, downtime, bugs, security incidents, or reliance on user-entered information.

To the maximum extent permitted by law, if Lain Dain is found liable for any claim, our total aggregate liability will be limited to the greater of: (a) PKR 1,000; or (b) the amount you paid to Lain Dain for the Service in the three months before the claim arose, if any.

22. Indemnity

You agree to defend, indemnify, and hold harmless Lain Dain, its founder(s), owners, directors, officers, employees, contractors, advisors, affiliates, suppliers, service providers, and partners from and against any claims, losses, liabilities, damages, costs, expenses, penalties, and legal fees arising from or related to:

• your use or misuse of Lain Dain;
• your violation of these Terms or any law;
• your user content, entries, attachments, reminders, comments, disputes, or settlements;
• your sharing of another person’s personal information without proper permission;
• any dispute between you and another user;
• any claim that your content or actions infringe or violate another person’s rights.

23. Changes to These Terms

We may update these Terms from time to time. We may notify users through the app, website, email, or other reasonable method. The updated Terms will be effective when posted or when stated in the update notice.

If you continue using Lain Dain after the updated Terms become effective, you agree to the updated Terms. If you do not agree, you must stop using the Service.

24. Force Majeure

Lain Dain will not be responsible for any delay, failure, data loss, outage, interruption, or inability to perform caused by events beyond our reasonable control, including natural disasters, floods, fire, war, terrorism, riots, civil unrest, labor issues, government actions, regulatory changes, internet failures, telecom failures, electricity failures, cyberattacks, cloud provider failures, app store restrictions, epidemics, pandemics, or other unforeseen events.

25. Governing Law and Dispute Resolution

These Terms are governed by the laws of Pakistan, unless mandatory local law provides otherwise.

Before starting any formal claim, you agree to first contact us and try to resolve the issue informally. If the issue cannot be resolved informally, disputes will be handled by the competent courts of Lahore, Pakistan, unless applicable law requires a different forum.

26. Severability and No Waiver

If any part of these Terms is found invalid or unenforceable, the remaining parts will continue to apply. Our failure to enforce any right or provision does not mean we waive that right or provision.

27. Entire Agreement

These Terms, together with the Privacy Policy and any additional terms presented for specific features, form the entire agreement between you and Lain Dain regarding the Service.
